The purpose of the Plan is to attract, motivate and retain employees, provide employees an incentive and provide the ability to grant performance rights, options or shares to employees, including Executive and Non-Executive Directors. This replaces the previous Employee Awards Plan approved in 2015. Voting rights There are no restrictions on voting rights. On a show of hands every member present or by proxy shall have one vote and upon a poll each share shall have one vote. Where a member holds shares which are not fully paid, the number of votes to which that member is entitled on a poll in respect of those partly-paid shares shall be that fraction of one vote which the amount paid up bears to the total issued price thereof. Option holders have no voting rights until the options are exercised. Audit Committee At the date of the Report of the Directors, the Company has a Committee of one Executive and one Non-executive Director that meets with the Company's external auditors at least once during each half-year. These meetings take place prior to the finalisation of the Half-Year Financial Statements and Annual Report, and prior to the signing of the Audit Report.
